These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Ursa Warrior Technology ("Company", "we", "us", or "our"), the operator of the Rho Property platform ("Platform"). By accessing, browsing, registering on, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Platform.

1. Definitions and Interpretation

In these Terms, the following definitions apply unless the context requires otherwise:

  • "Platform" refers to the Rho Property website, mobile application, progressive web application, and all related services, features, content, and tools provided by the Company.
  • "User" refers to any individual or entity that accesses or uses the Platform, including buyers, renters, agents, service providers, and visitors.
  • "Agent" refers to any property agent, real estate negotiator, service provider, or merchant registered on the Platform.
  • "Content" refers to all text, images, data, listings, descriptions, reviews, messages, and other materials published or transmitted through the Platform.
  • "Credits" refers to the internal digital currency or units used on the Platform for listing, boosting, or accessing premium features.
  • "Rho Coins" refers to the reward tokens issued by the Platform for engagement and promotional activities.

2. Eligibility and Use of Platform

The Platform provides property listings, AI-powered search and recommendation tools, messaging systems, credit-based listing management, and related services for property seekers, agents, and service providers. Users must be at least 18 years of age and possess the legal capacity to enter into binding agreements under Malaysian law.

By using the Platform, you represent and warrant that all information you provide is accurate, current, and complete. You agree to use the Platform solely for lawful purposes and in compliance with all applicable Malaysian laws and regulations.

Users may not: upload inaccurate or misleading information; misuse system features; attempt to access restricted areas; interfere with Platform operations; reverse engineer, decompile, or disassemble any part of the Platform; use the Platform to compete with or replicate Company services; or engage in any activity that may harm the Platform, its users, or the Company's reputation.

3. Accounts and Security

Users are solely responsible for maintaining the confidentiality of their account credentials, including passwords and authentication tokens. Any activity performed under a User's account shall be deemed to have been authorised by the User, and the User assumes full responsibility and liability for all such activity.

Users must notify the Company immediately of any unauthorised use of their account or any other security breach. The Company shall not be liable for any loss or damage arising from the User's failure to secure their account credentials.

The Company reserves the right to suspend, restrict, or permanently terminate any User account at its sole and absolute discretion, without prior notice, for any reason including but not limited to: violation of these Terms, suspected fraudulent activity, creation of risk or potential legal liability for the Company, or for operational and security purposes. Upon termination, the User's right to access the Platform ceases immediately, and any remaining credits or digital assets may be forfeited without compensation.

4. Listings, Content, and Third-Party Information

Property listings, descriptions, pricing, images, agent profiles, and related information displayed on the Platform are provided by third parties including agents, property owners, developers, and external data sources. The Company does not independently verify, endorse, or guarantee the accuracy, completeness, legality, or reliability of any third-party content.

Users acknowledge and agree that they are solely responsible for independently verifying all property information, pricing, legal status, ownership details, and any other material facts before making any decision, commitment, or financial transaction. The Company acts solely as an intermediary platform and is not a party to any transaction between Users and Agents or property owners.

By submitting any Content to the Platform, Users grant the Company a non-exclusive, royalty-free, worldwide, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from such Content for any purpose related to the operation, promotion, and improvement of the Platform. Users represent and warrant that they have all necessary rights and permissions to grant this licence and that their Content does not infringe any third-party intellectual property or other rights.

5. AI Features and Automated Systems

The Platform uses artificial intelligence and machine learning systems to enhance search results, provide property recommendations, generate listing descriptions, detect fraudulent activity, and improve user experience. AI-generated outputs, including but not limited to search results, descriptions, market insights, and recommendations, are provided on an "as is" basis for informational and convenience purposes only.

The Company makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated content. Users acknowledge that AI outputs may contain errors, inaccuracies, or outdated information. Users shall not rely solely on AI-generated content when making financial, legal, or property-related decisions and must seek independent professional advice where appropriate.

The Company shall not be liable for any loss, damage, or claim arising from reliance on AI-generated content or automated system outputs.

6. Credits, Rho Coins, Payments, and Digital Assets

The Platform offers credit-based features for listing management, boosting, and premium services. All credits and Rho Coins are non-refundable, non-transferable, and non-exchangeable for cash or any form of monetary value unless expressly required by applicable law. Credits and Rho Coins have no monetary value outside the Platform and do not constitute property, currency, or financial instruments.

The Company reserves the right to modify, revalue, expire, or discontinue any credit or Rho Coin system, pricing structure, or reward programme at any time without prior notice. Users are responsible for ensuring the accuracy of all purchase transactions before confirming payment.

Upon account termination for any reason, all remaining credits, Rho Coins, and digital assets associated with the account shall be forfeited without compensation or refund.

7. Intellectual Property

All intellectual property rights in the Platform, including but not limited to the software, design, layout, logos, trademarks, trade names, source code, algorithms, AI models, database structures, and all original content created by the Company, are and shall remain the exclusive property of Ursa Warrior Technology. No right, title, or interest in any intellectual property is transferred to Users by virtue of using the Platform.

Users may not copy, reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, decompile, or otherwise exploit any part of the Platform or its intellectual property without the prior written consent of the Company. Unauthorised use of the Company's intellectual property may result in legal action.

8. Indemnification

Users agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) the User's use of or access to the Platform; (b) the User's violation of these Terms; (c) the User's violation of any applicable law or regulation; (d) the User's infringement of any third-party rights; (e) any Content submitted by the User; (f) any transaction or dispute between the User and any other User, Agent, or third party; or (g) any claim that the User's Content or conduct caused damage to a third party. This indemnification obligation shall survive the termination of the User's account and these Terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL SERVICES, CONTENT, FEATURES, AND TOOLS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.

THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO: (A) USE OF OR INABILITY TO USE THE PLATFORM; (B) LISTING INACCURACIES OR ERRORS IN CONTENT; (C) UNAUTHORISED ACCESS TO OR ALTERATION OF USER DATA; (D) CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (E) PROPERTY TRANSACTIONS, DISPUTES, OR DEALINGS BETWEEN USERS; (F) AI-GENERATED OUTPUTS OR AUTOMATED SYSTEM RESULTS; (G) SYSTEM DOWNTIME, INTERRUPTIONS, OR TECHNICAL FAILURES; (H) ANY EXTERNAL FACTORS BEYOND THE COMPANY'S REASONABLE CONTROL.

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY EXCEED THE LESSER OF: (I) THE AMOUNT PAID BY THE USER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED MALAYSIAN RINGGIT (RM 100). USERS ASSUME ALL RESPONSIBILITY AND RISK ASSOCIATED WITH USING INFORMATION AND SERVICES FROM THE PLATFORM.

10. Platform as Intermediary -- No Agency Relationship

The Company operates the Platform solely as a technology intermediary and advertising platform. The Company is not a real estate agent, broker, valuer, legal adviser, financial adviser, or party to any property transaction.

No agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship is created between the Company and any User, Agent, or third party by virtue of these Terms or the use of the Platform.

The Company does not control, endorse, or assume responsibility for the quality, safety, legality, or availability of any property, service, or transaction facilitated through the Platform. All dealings between Users and Agents or property owners are conducted at the parties' own risk and responsibility.

11. Dispute Resolution Between Users

Any dispute, claim, or controversy between Users, or between Users and Agents or third parties, arising from or relating to property transactions, communications, or services facilitated through the Platform, shall be resolved directly between the parties involved. The Company shall have no obligation to mediate, arbitrate, or resolve any such dispute.

The Company may, at its sole discretion, assist in dispute resolution but is under no obligation to do so. Any assistance provided shall not be construed as an admission of liability or responsibility by the Company.

12. Termination

The Company may suspend, restrict, or terminate any User's access to the Platform at any time, with or without cause, and with or without prior notice. Grounds for termination include but are not limited to: violation of these Terms, suspected fraud or scam activity, creation of legal risk for the Company, abusive behaviour, or operational and security requirements.

Upon termination, the User's licence to use the Platform is immediately revoked. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and governing law clauses.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Malaysia.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.

14. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond the Company's reasonable control, including but not limited to: natural disasters, pandemics, government actions, regulatory changes, cyber attacks, infrastructure failures, third-party service outages, or any other force majeure event.

15. Entire Agreement and Waiver

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, Disclaimer, Refund Policy, Data Processing Agreement, AI Usage Disclosure, and any other policies published on the Platform, constitute the entire agreement between the User and the Company. No prior arrangement, understanding, or agreement, whether written or oral, shall have any effect.

The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of the Company.

16. Changes to Terms

The Company reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. Changes will be effective immediately upon publication on the Platform. Continued use of the Platform after any changes constitutes the User's acceptance of the revised Terms. Users are responsible for reviewing these Terms periodically.
